Job Description
Craft and negotiate a wide range of domestic and international
agreements including SaaS offerings, software licenses, data
partnerships, vendor agreements, financings, and strategic
alliances
Develop and maintain form agreements, playbooks, and libraries
Quickly grasp key drivers of the business and industry and becomes
immersed in the most important business issues facing the
company
Partner with internal clients to achieve business objectives and
minimize exposure
Effectively communicate risks and consequences, balancing sometimes
conflicting goals, to collaborate with the business on viable
alternatives
Provide timely advice on contractual interpretation, partner and
customer relationships and disputes, and product, sales, and
marketing issues to help achieve our business objectives
Assist with the creation, development, and use of organizational
and productivity tools
Support corporate and organizational matters related to the
operation of the business in accordance with the company's bylaws
and applicable laws and regulations
Coordinate internal Medable subject matter experts for
collaboration in knowledge transfer
Other duties as assigned
Qualifications
8+ years of working experience in technology transactions or a
combination of education and experience; both in-house and major
law firm experience preferred
Demonstrates a strategic, innovative, creative, and inquisitive
frame of mind and a service and leadership mentality, with strong
business acumen and judgment
Is passionate about building successful relationships
Takes initiative and ownership, and operates with a sense of
urgency, decisiveness, and responsiveness.
Makes nuanced recommendations and data-driven business
decisions
Offers strong and effective verbal and written communication and
interpersonal skills with a variety of audiences
Marshalls the appropriate level and mix of resources as required by
circumstances
Demonstrates an exceptional focus on details, moving pieces, and
results. Delivers the technical, planning, and project management
skills to ensure the highest quality execution
Holds themselves to the highest standards of accountability
Negotiates agreements that meet and exceed client expectations
Key Strengths include incorporating the company's strategic,
growth, business, and go-to-market plans ... as well as dynamic
industry trends and market conditions in crafting and negotiating
our contracts
Currently admitted in good standing to practice law in at least one
state in the United States or international equivalent
Familiarity with global regulatory issues relevant to technology,
software as a service, and clinical trials (GCP, 21 CFR 11),
including cloud, data, privacy, partnerships, outsourcing, and
third-party risk management
Solid working knowledge of corporate law, regulations, and best
practices
Demonstrated good judgment; high integrity; collaborative and
empathetic approach; and the ability to balance business and legal
priorities
Experience of working successfully in a results-oriented,
fast-paced, and performance-driven environment with a focus on
excellence
A solid teammate who is positive and has a sense of humor
Minimum Level of Education:
Juris Doctor (or international equivalent) from a top-tier law
school.
